Definitions
In this Agreement, the following terms have the meanings set out below.

| "Agreement" | These Terms & Conditions, including all Appendices and any updates posted on the Platform from time to time. |
| "Associate" | A person appointed by Lyndung under a separate Associate Agreement to promote the Lyndung Programme. |
| "Base Referral Fee" | The recurring fee payable on the Wakalah Fee of a referred member's active Membership, for as long as that Membership remains active and paying. |
| "Bonus Referral Fee" | An additional fee payable during the first six (6) years of a referred member's Membership only. It stops automatically from Year 7. |
| "Company" / "Lyndung" | Lyndung Sdn Bhd (Company No. 202201009186), including its officers, employees, and any service providers engaged by Lyndung. |
| "Lyndung Programme" | The medical bill community sharing programme set up and operated by Lyndung. |
| "Member's Pocket" | A holding balance in your Platform account where Referral Fees below the minimum payout threshold are kept until you request withdrawal. |
| "Membership" | An active, paid membership under the Lyndung Programme (Basic, Plus, Premium, or Ikhlas). |
| "Platform" | The web-based and/or mobile application platform operated by Lyndung for the Lyndung Programme and this Referral Programme. |
| "Referral" | The act of introducing a prospective individual to the Lyndung Programme through your personal Referral Link, resulting in that person's registration and activation of a paid Membership. A Referral may be T1 or T2 depending on the tier. |
| "Referral Fee" | Collectively, the Base Referral Fee and Bonus Referral Fee payable for each Successful Referral (see Appendix 2). |
| "Referral Link" | Your unique personal link on the Platform, which shows your name and your closest Associate's name. |
| "Referral Programme" | This referral programme set up and operated by Lyndung. |
| "Senior Associate" | A senior-level promoter appointed by Lyndung who oversees Associates. |
| "Successful Referral" | A prospective individual who registers and activates a paid Membership through your Referral Link. |
| "T1 Member" | An individual who joins Lyndung as a paying member directly through your Referral Link. |
| "T2 Member" | An individual who joins Lyndung as a paying member through the Referral Link of one of your T1 Members. |
| "Wakalah Fee" | The administration fee charged by Lyndung on each Membership contribution. All Referral Fees are based on this fee only - not on the total contribution amount. |
| "you" / "your" | The individual who has met the eligibility criteria and is registered as a Lyndung Referrer under this Agreement. |
Interpretation
Unless the context requires otherwise:
- Singular words include the plural and vice versa.
- Any gender includes all genders.
- References to a Clause are to a clause of this Agreement.
- Capitalised terms not defined above carry their ordinary meaning.
- Where an obligation falls on a non-business day, it must be performed on the next business day.
The Referral Programme
Lyndung's Referral Programme lets active members earn fees by introducing new paying members via their personal Referral Link. It is limited to two tiers only:
- T1 (Direct) - someone who joins through your Referral Link.
- T2 (Indirect) - someone who joins through a Referral Link shared by one of your T1 Members.
This Programme is a community promotion activity. It is not insurance distribution, financial advisory, or any regulated activity under the FSA or IFSA. It is also not a multi-level marketing or recruitment-income scheme.
Referral Fees are a promotional incentive in the nature of Ju'alah, meaning a reward for a specified outcome, funded from Lyndung's Wakalah Fee allocation. They do not create any employment, agency, or service relationship between you and Lyndung.
To participate, you must:
- be an active, paid Lyndung member;
- separately apply to join the Referral Programme on the Platform and click "I Agree" to activate your Referral Link.
Your Referral Link will only be issued once Lyndung confirms your application.
Eligibility & Obligations
To register and remain a Lyndung Referrer, you must meet all criteria in Appendix 1 at all times. Lyndung may update these criteria by revising Appendix 1 on the Platform.
What you may do with no prior consent needed:
- Share your Referral Link through personal messaging, word-of-mouth, or your own social media, provided it is clearly personal and does not imply that you are a Lyndung official or authorised representative.
- Post about your own experience as a Lyndung member honestly, without using Lyndung's brand assets.
- Direct enquiries to the official Lyndung website or Platform.
What you must not do:
- Hold yourself out as an employee, agent, or official representative of Lyndung.
- Make any commitment or representation on behalf of Lyndung.
- Collect money from anyone on Lyndung's behalf.
- Provide financial, medical, or professional advice on Lyndung's behalf.
- Run paid advertisements or sponsored or boosted posts about Lyndung without prior written consent.
- Create accounts using names like "Lyndung Admin", "Lyndung Official", "Lyndung HQ", or anything that implies an official affiliation.
- Use Lyndung's logo, trademark, or brand assets in any public-facing material without prior written consent.
Breaching any of these restrictions may result in immediate termination of your Referral Programme participation and or Membership.
You confirm that all information you provide is accurate and up-to-date. You must notify Lyndung promptly if any details change.
Change of Associate. You cannot change your assigned Associate or Senior Associate without Lyndung's prior written approval. If your Associate is terminated, resigns, or becomes inactive, Lyndung will reassign the next available Associate in your upline structure.
Referral Fees & Payout
Fee Structure
The Referral Fee structure, including tier percentages and annual breakdown, is set out in Appendix 2. Lyndung may revise this structure by updating Appendix 2 on the Platform.
In summary:
- T1 (Direct): 20% per year in Years 1-6 (5% Base + 15% Bonus), and 5% per year from Year 7 onward.
- T2 (Indirect): 10% per year in Years 1-6 (5% Base + 5% Bonus), and 5% per year from Year 7 onward.
Payment
- Fees are calculated monthly and paid in the following month in which the referred member's Wakalah Fee is received and their Membership is confirmed active.
- Payment is by bank transfer to a Malaysian bank account in your name as registered on the Platform.
- No payment will be made for any Membership that is not active and in good standing at the time payment falls due.
Member's Pocket - Minimum Payout Threshold
- If your total Referral Fees for any month are below RM10.00, they will not be automatically paid out. Instead, they will be credited to your Member's Pocket and held there.
- Your Member's Pocket balance accumulates month-on-month.
- No automatic payout happens. You must request a withdrawal.
- The minimum withdrawal amount is RM10.00 per request. Requests below this amount will not be processed.
- Withdrawal requests must be submitted through the Platform. Approved withdrawals are processed in the following month's payment cycle to your registered Malaysian bank account.
- The Member's Pocket is not a savings account or investment product, and Lyndung does not pay interest on any balance held.
- The minimum threshold and withdrawal amount may be revised from time to time and will be communicated by internal memo or notice on the Platform.
Monthly Eligibility Validation
To receive Referral Fees each month, you must meet all validation criteria in Appendix 3. Lyndung may update these criteria by revising Appendix 3.
- If you fail the criteria in any month, your fees for that month are withheld without interest. They may be released in a later month when all criteria are met.
- Any fees still withheld or unclaimed at 31 December each year are ordinarily forfeited and do not carry forward. You may submit a written request to Lyndung within 30 calendar days after 31 December. Lyndung will consider this at its sole discretion, and its decision is final.
Effect of Account Closure
If your Referral and or Membership account becomes inactive, suspended, terminated, or withdrawn for any reason:
- All Referral Fee entitlement, including Base, Bonus, withheld, and deferred fees, stops immediately.
- All accrued but unpaid fees are forfeited.
- All your T1 and T2 Members are permanently reassigned to the next active person in your upline, namely your Associate or Senior Associate. This reassignment is permanent and they will not return if you rejoin.
Additional Fee Rules
- Lyndung is not liable for bank reversals beyond its control. Such fees may be forfeited at Lyndung's discretion.
- Fees cannot be exchanged for another currency, credit, or payment in kind.
- Your fee entitlement is personal and cannot be transferred, traded, or securitised.
- Fee disputes must be raised within 3 business days of the payment date, and Lyndung's decision is final.
- You are responsible for all taxes, levies, or statutory contributions applicable to Referral Fees received by you.
- If a referred member cancels or lapses their Membership, including during any cooling-off period, you forfeit all fees for that member. Fees already paid must be returned within 30 days, and Lyndung may set off these amounts against future fees.
- Lyndung may investigate referral activity suspected to involve fraud, self-referrals, duplicate accounts, or platform manipulation, and may withhold, cancel, or recover associated Referral Fees.
- Lyndung is not liable for any delay or failure in processing Referral Fees where the delay or failure results from events beyond its reasonable control, including system failures, cyber incidents, internet outages, natural disasters, governmental actions, or bank processing delays.
- All decisions by Lyndung on fee calculations and eligibility are final and binding.
Digital Acceptance & Platform Use
Electronic Agreement. By clicking "I Agree" on the Platform, you confirm you have read and accept these Terms. This constitutes a valid, binding contract under the Electronic Commerce Act 2006 and the Contracts Act 1950. No handwritten signature is required.
Audit Trail. Lyndung records your acceptance including:
- Full name and NRIC as registered.
- Date and time of acceptance (system timestamp).
- IP address.
- Platform Account ID.
- Version of the Terms & Conditions accepted.
These records constitute proof of this binding contract.
Account Security. Your account is personal and non-transferable. Keep your login credentials confidential. Notify Lyndung immediately if your account is compromised or accessed without your authorisation.
Account Transfer. Your account may only be transferred in limited circumstances:
- In the event of your death, the account may be transferred to a nominated person or the executor or administrator of your estate, subject to Lyndung's documentation requirements.
- The transferee will be bound by all terms of this Agreement.
- Upon transfer, you and your estate have no further claims against Lyndung.
Termination
Lyndung may suspend, deactivate, or terminate your access to the Referral Programme at any time, with or without notice, including if:
- You provide false or misleading information.
- You breach any term of this Agreement and, if the breach can be fixed, do not fix it within 7 days of notice.
- Bankruptcy proceedings are commenced against you.
- Your conduct brings Lyndung's reputation into disrepute.
On termination for any reason:
- You immediately lose all entitlement to Referral Fees.
- All accrued, withheld, and deferred fees are forfeited.
- All T1 and T2 Members under your account are permanently reassigned upward in your upline.
- If fees already paid to you are later found to be based on a false warranty, you must return them within 30 days of Lyndung's written notice.
Voluntary withdrawal. You may leave the Referral Programme at any time by notifying Lyndung in writing through the Platform. Voluntary withdrawal carries the same consequences as termination under Clause 6.2.
Liability & Warranties
Platform "as is". Lyndung does not guarantee the Platform will be uninterrupted or error-free. Lyndung and its service providers are not liable for any losses or damages arising from your use of the Platform or participation in this Programme. Your use is entirely at your own risk.
Your warranties. You confirm that:
- You are at least 18 years old and have legal capacity to enter this Agreement.
- This Agreement does not conflict with any other contract you are party to.
- You are not bankrupt.
- All information you provide is accurate, complete, and up-to-date.
- You will comply with all applicable laws when using the Platform.
- You will not use the Platform for any unlawful purpose.
- You consent to Lyndung processing your personal data for the purposes of this Programme under the Personal Data Protection Act 2010.
Intellectual Property
All content and materials on the Platform are Lyndung's intellectual property. You may not copy, reproduce, or reverse-engineer any part of the Platform without prior written consent. This restriction applies even after this Agreement ends.
You must not use the Lyndung name, logo, or trademark in any way that implies you are an official representative, branch, or affiliate of Lyndung, including social media accounts, websites, or messaging groups, without prior written consent.
Miscellaneous
Governing Law. This Agreement is governed by the laws of Malaysia. All disputes will be resolved in the courts of Kuala Lumpur, Malaysia.
Entire Agreement. This Agreement, including all Appendices, is the complete agreement between you and Lyndung on this subject and replaces all prior discussions or representations.
Amendment. Lyndung may update these Terms at any time by posting revised terms on the Platform. Your continued participation after any update means you accept the revised terms.
Severability. If any clause is found invalid or unenforceable, the rest of this Agreement continues in full effect.
No waiver. Lyndung's failure to enforce any clause does not waive its rights to do so later.
No employment. Nothing in this Agreement creates a partnership, employment, or agency relationship between you and Lyndung. You are not entitled to any employment benefits from Lyndung.
Binding effect. This Agreement binds you, your estate, heirs, executors, administrators, and successors.
Notices to Lyndung. Written notices to Lyndung may be sent by post or email to:

Time. Time is of the essence of this Agreement.
Force Majeure. Lyndung is not liable for any delay or failure in performing its obligations where the delay or failure results from events beyond its reasonable control, including system failures, cyber incidents, internet outages, natural disasters, governmental actions, or bank processing delays.
Individual Disputes Only. Disputes shall be brought on an individual basis only. You agree not to participate in any class, representative, or collective action against Lyndung.
Liability Cap. To the maximum extent permitted by law, Lyndung's total liability arising out of or in connection with this Agreement shall not exceed the total Referral Fees paid to you during the twelve (12) months preceding the claim.
Eligibility Criteria for Lyndung Referrer
This Appendix may be revised by Lyndung at any time. Updates will be posted on the Platform and take effect upon posting.
To register and remain a Lyndung Referrer, you must meet all of the following criteria at all times:

| (e) | Good Standing | Not bankrupt. Account must not be inactive, suspended, terminated, or withdrawn. |
| (f) | Platform Registration | Duly registered as a Lyndung Referrer via the Platform by accepting these Terms digitally. |
| (g) | Referrer Activation | Must have submitted a Referrer application on the Platform and clicked "I Agree" to accept these Terms. Your Referral Link will only be issued after Lyndung confirms your application. Until activation, you have no entitlement to any Referral Fees. |
Referral Fee Structure
This Appendix may be revised by Lyndung at any time. Updates will be posted on the Platform and take effect upon posting.

- The Base Referral Fee of 5% continues for as long as the referred member holds an active, paying Membership, with no end date.
- The Bonus Referral Fee applies only during Years 1-6 of each referred member's Membership and stops automatically from Year 7.
- This fee structure may be revised by Lyndung from time to time by updating this Appendix on the Platform.
Monthly Eligibility Validation Criteria
This Appendix may be revised by Lyndung at any time. Updates will be posted on the Platform and take effect upon posting.
To receive Referral Fees in any given month, you must meet both of the following criteria at the time of the monthly review:

| Criterion I Active Own Membership | Your own Lyndung Membership must be active, paid, and in good standing. If it lapses, is suspended, or is terminated for any reason, your Referral Fees will be withheld for that month and any period of non-compliance after that. |
| Criterion II Active T1 Member | At least one (1) of your T1 Members must hold an active, paid Lyndung Membership during the relevant monthly review period. A T1 Member is any individual who joined Lyndung as a paying member through your Referral Link. This criterion is satisfied by the ongoing Membership of any existing T1 Member, so you do not need to bring in a new member every month. |
- If you fail either criterion in a given month, your fees for that month are withheld without interest. They may be released in a later month when both criteria are met.
- Any fees still withheld or unclaimed at 31 December each year are ordinarily forfeited and do not carry forward. You may, however, submit a written request to Lyndung within 30 calendar days after 31 December for the release of such fees. Lyndung will consider this at its sole discretion, and its decision shall be final.
